Speakers:

Arman Pahlavan: Transactional business attorney Arman Pahlavan advises venture capital and private equity funds and their portfolio companies across their legal needs. He counsels them on mergers and acquisitions, corporate finance, intellectual property transactions, and fund formation matters. Arman has extensive experience advising clients with an emphasis on cross-border transactions for corporate clients and in his investment company practice. His knowledge runs across industry lines including software/mobile, AR/VR, cryptocurrencies/blockchain, digital health/life sciences, and energy technologies.

With an aggregate transaction value measured in billions, Arman represents clients based in Silicon Valley and throughout the country and abroad in a multitude of transactions. He has served as fund counsel to various funds and represented public companies and foreign private issuers in their securities matters. Arman has been an active participant in industry symposiums and roundtables, including events sponsored by VentureOne Summit, BayBio, Healthtech Women and Idea to IPO. Topics he has spoken on include term sheet best practices and funding strategies for emerging companies, smart grid investments, robotics, and artificial intelligence.


Arman is active in the investment community and has been able to garner first institutional round investments and CEO placements for his clients over the years to advance their growth and funding prospects.
His recent private equity transactions have included TSG’s buy-out of IT Cosmetics and the leveraged buy-out Sigma International with Frontenac Capital and subsequently with Fairfax as PEG sponsor.


Arman’s investment fund clients have included Benhamou Global Ventures, Sofinnova Ventures, Invesco, The VR Fund, Tomorrow Ventures, Vedanta Capital, Novirian Capital, Invesco Private Capital, Claremont Creek Ventures, Kleiner Perkins, Lux Capital, Think+ Ventures and NEA. In addition to establishing traditional private funds, Arman has been tapped by sovereign wealth funds to establish their investment structures in the U.S. and abroad.


Arman routinely represents Special Committees and Board of Directors of publicly traded and growth companies in connection with bet-the-company complex litigation and corporate matters. Listed in The Best Lawyers in America, 2018 - present: Corporate Law Listed as a "Northern California Super Lawyer," 2013, 2016.


Alberto Araiza: is a counsel in the firm’s Intellectual Property practice. He has significant experience preparing and prosecuting U.S., PCT and foreign patent applications involving various complex technologies, including computer networking technologies, wireless communications, consumer electronic devices, imaging equipment, touch sensitive user interfaces and displays, thermal management technologies and medical devices. He has experience advising clients ranging from large industry-leading companies to early stage start-ups on developing their patent portfolios, including performing due diligence, landscape analysis and valuations for sales and acquisitions. In addition, Alberto has significant experience in patent licensing, conducting IP due diligence for corporate transactions and providing litigation support.

Alberto also has a strong engineering background, including experience developing computer models of complex systems to predict instabilities and verify system performance in the energy and oil and gas industries, and designing circuitry for radar systems in the defense industry. He is also an experienced biomedical researcher, which enhances his counsel on patent prosecution matters in the biotechnology and medical device industries.

Alberto maintains an active pro bono practice, representing children in a wide variety of immigration matters regarding asylum, special immigrant juvenile status and cancellation of removal proceedings. He also assists clients with the naturalization process for citizenship. In addition to immigration matters, Alberto’s pro bono work includes counseling clients on issues related to housing, and he has prepared wills and medical directives for elderly and disabled clients.

He earned a Master’s degree in biomedical engineering, and he was awarded a VIGRE fellowship in applied mathematics. Alberto earned his B.S. with honors in electrical engineering and a minor in biomedical engineering from UCLA, where he was a member of Tau Beta Pi .

  What to bring to your appointment:

· Proof of identification (Photo ID)

· Just W-2s (under $55,000 income)

· Interest and dividend statements from bank

· Proof of bank account routing and account numbers for direct deposit such as a blank check

· A copy of last year’s federal and state returns, if available
